Please review the legal terms and operational rules governing the use of the Invoice Dom Digital Receivables Registry in Dominica.

1. Acceptance of Terms

By registering for an account or using the Invoice Dom platform, you agree on behalf of your corporate entity to be bound by these Terms & Conditions and all applicable commercial laws of the Commonwealth of Dominica.

2. Account Eligibility & Registration

Account registration is restricted to legally incorporated businesses, sole proprietorships, and licensed financial institutions operating in Dominica. You warrant that all corporate details and authorized contact credentials provided during onboarding are accurate and truthful.

3. Seller Obligations & Representations

Sellers uploading receivables to the registry warrant that:

The registered invoice represents a genuine, un-disputed trade debt arising from actual goods delivered or services rendered.
The invoice has not been previously sold, assigned, pledged, or encumbered to any other party.
Supporting documents attached are authentic and un-altered.

4. Buyer Obligations

Buyers utilizing the platform to review and verify invoices agree to conduct validations in good faith and respond to verification requests in a timely manner according to agreed trade terms.

5. Financial Intermediary Rules

Financial Intermediaries agree to evaluate financing requests in accordance with regulatory lending guidelines and handle all seller credit information with confidentiality.

6. Platform Role & Disclaimer

Invoice Dom operates solely as a technological registry and platform facilitator. Invoice Dom does not guarantee debt recovery, approve credit directly, or assume liability for counterparty non-payment or contractual default.

7. Intellectual Property

All software, brand marks, logos, user interface designs, database structures, and platform code are the exclusive property of Invoice Dom.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Dominica. Any disputes arising out of these terms shall be submitted to the exclusive jurisdiction of the courts of Dominica.
